Under the responsibility of the VP Small Catalogue Acquisition and with a "dotted line" with the Group Senior M&A Lawyer, the Catalog Acquisition Lawyer will be responsible for supporting the newly created business team in the roll-out of Group’s small catalogue acquisition strategy by : 1) managing all legal aspects of the catalogue acquisitions processes, 2) streamlining the contractualization and due diligence processes to support scale.
Managing all legal aspects of the catalogue acquisitions processes
Provide expert legal support throughout the catalog acquisition process to ensure efficient execution of transactions
Oversee the conduct of the legal due diligence and coordinate internal and external resources, with a strong focus on intellectual (IP) and content rights issues
Draft, negotiate and review all types of contracts and legal documents related to catalog acquisitions: non-binding offers, confidentiality agreements, asset purchase agreements including IP-related representations and warranties, ancillary documentation etc.
Assist in closing and post-closing management such as warranty claims, M&A litigation, etc.
Streamlining the contractualization and due diligence processes to support scale
Structure catalogue acquisitions contract templates to support speed of execution, scalability of the business and cost optimization while mitigating our risk
Build and formalize local IP law intelligence on our key markets to support our objective to increase transaction volumes / accelerate at global level

Qualifications
Master's degree in business law; a combined expertise in , M&A and IP is a strong plus
3 to 5 years of experience within law firms and/or as in-house counsel, with a proven track record of IP/content rights-related transactions
Problem-solving mindset with strong appetence for corporate law and transactional dynamics
Excellent analytical, negotiation, and communication skills, with the ability to influence and collaborate effectively with internal and external stakeholders
Fluent level of French/English, both spoken and written
