As a future Lawyer, you will report to the Co Head of legal fund structuring, and you will be part of AXAIM Alts - Real Estate.

Work as part of a Global Legal team providing legal and regulatory advice to specialist investment  teams, mainly fund management withinReal Estate, Infrastructure, CRE debt, and Infrastructure debt . The role holder will support the corporate finance functions in carrying out all legal, regulatory and contractual aspects of their fund structuring and investment activities, while understanding the various structures, ensuring harmonization of practices across the different business activities and countries, evaluating and assessing multiple inputs/impacts of decisions/course of action and identifying proactive solutions to mitigate legal, regulatory and reputational risk globally across the business.

Your role and responsibilities will include

Work collaboratively with other legal team colleagues to assist the Fund Management and corporate finance teams based in Paris and in London, in particular on:

• Understanding the various types of funds across the jurisdictions
• Participating in the drafting, negotiating and advising on the legal and contractual documentation with regard to the creation of any new investment product (in particular, under the form of a separate account mandate or collective investment vehicle such as a AIFs (RAIFs, FPS, OPCI, etc.) launched or to be launched by the Fund Management
• Drafting and negotiating of all agreements in respect of the various businesses (investment management agreements, delegation agreements, advisory agreements, financing agreements – including the follow-up of such financing documentation in a restructuring context –, servicing agreements, prospectus, etc.)
• Assisting, in cooperation with external lawyers, in the choice of the investment structures (i.e. advising on appropriate fund structure, in France and abroad (notably in France, Luxembourg, Ireland or the UK)
• Understanding the distribution and marketing rules of the funds launched by the teams in any jurisdiction where the investment products may be distributed to investors; in particular, reviewing marketing material (marketing presentations, teaser documentation, RFP/RFI, Due diligence questionnaires, etc.) and press releases
• Participating in the management of relationships with the relevant regulators and authorities (AMF, CSSF, etc);
• Contribute to a wide range of ad-hoc projects, including complex transactions and cross-functional initiatives
• Follow-up and advising on the legal and regulatory developments which may impact AXA IM Alts - Real Assets with regard to the various businesses
• Selecting, managing and monitoring of external lawyers/outside legal counsel
• Support on litigation related to the above matters, if need be

Education/Qualifications

• French or Lux Qualified lawyer
• 3 to 5 years PQE

Experience/Skills

• First experience through internships/alternance or first experience in the appropriate practice of an international law firm (incl. fund structuring, finance, securitization real estate or project finance)
• Fluent English
• Team player and collaborative

Competencies

• Ability to deal with a diverse and multi cultural group of people in different jurisdictions
• Assertive and business solution orientated
• Team player but self-motivated with tenacity and enthusiasm to evolve in a challenging environment
