Job purpose

 

As Corporate Legal Counsel – Corporate Secretary & Global Affiliate Support , you will provide comprehensive corporate secretarial support to Headquarters with a focus on maintaining the company’s legal entities worldwide and ensuring compliance with local corporate requirements.

This includes supporting French affiliates, coordinating global subsidiary governance, managing entity data, and enabling reliable and efficient intra-group corporate processes in alignment with Pernod Ricard’s strategic objectives.

 

 

Key responsibilities

 

Corporate secretarial duties – France perimeter

 

  • Draft and maintain board/shareholder resolutions, meeting minutes, and annual meeting materials for ~20 French affiliates (including Pernod Ricard SA, a listed company).
  • Coordinate board meetings (scheduling, agenda, documentation).
  • Maintain corporate records and minute books.

 

Affiliate support & organization chart management

 

  • Ensure Group Affiliates Organization Charts are accurate and up to date (shareholding & governance structures).
  • Serve as a point of contact for company law support (POAs, shareholder meeting minutes, certifications, notarizations, attestations).
  • Provide legal support for restructuring operations (drafting, signatures, formalities).
  • Define guidelines and standards for affiliate corporate governance (e.g. board composition, DoAs).

 

Global corporate database management

 

  • Act as database administrator for the Group Affiliates Organization Charts tool (vendor management, structure design, process improvements).
  • Train and support local teams to update data, ensuring reliability and compliance.
  • Draft templates and streamline processes to reduce affiliate workload.
  • Be proactive in finding any solutions which will ensure full effectiveness of the tool.

 

Additional contributions

 

  • Support HQ Corporate Governance team on Annual Shareholders’ Meeting preparation and formalities (including closed period compliance).
  • Act as point of contact for risk reporting database.
  • Provide assistance on KYC/AML requests and regulatory filings.

 

 

Profile

 

  • Master’s degree in Law (or equivalent) with 5+ years’ experience as a corporate counsel/paralegal, ideally in a multinational corporate environment or law firm.
  • Proven expertise in corporate secretarial duties, entity management, and governance standards.
  • Strong organizational and communication skills, with the ability to handle sensitive information with discretion.
  • Highly proactive personality with strong willingness to provide solutions globally enforceable.
  • Analytical and thorough, able to interact with diverse stakeholders and lead transversal initiatives.
  • Skilled in managing complex databases and coordinating with international subsidiaries.
  • Proficient in Microsoft Office, entity management software (e.g. Dilitrust) and reporting tools.
  • Languages: Fluent French & English.
