Position Summary

We are seeking an experienced and dynamic Interim M&A In-House Lawyer with a minimum of 5 years of relevant experience to join our team for a temporary period of 12 months. The successful candidate will play a crucial role in facilitating a transversal project, potential mergers, acquisitions and liquidations, providing legal counsel, and ensure constant communication between our business partners and legal counsels. Proficiency in both English and French is essential for this role, as it involves dealing with international transactions and stakeholders.

Key Accountabilities

Mergers and Acquisitions:

• Lead and oversee the legal aspects of long term transversal project;
• Lead and oversee the integration part of an M&A project;
• Lead and oversee the legal aspects of potential short-term mergers, acquisitions, and divestitures;
• Conduct due diligence and risk assessments for potential transactions.
• Draft, review, and negotiate transactional documents, including but not limited to, purchase agreements, confidentiality agreements, and other related contracts.

Legal Advisory:

• Provide legal advice to internal business partners on a wide range of issues related to M&A activities.
• Identify legal risks and propose effective risk mitigation strategies.
• Collaborate with cross-functional teams to ensure legal compliance and alignment with business objectives.

Communication and Liaison:

• Serve as the primary point of contact between the counsels and internal business units.
• Act as a liaison between external legal counsels and internal stakeholders.

Continuity of Business:

• Work closely with business leaders to understand their strategic objectives and anticipate legal needs during the 6 month period.
• Develop and implement processes to ensure the continuity of business operations during and after short-term M&A transactions.
• Proactively address legal issues to minimize disruptions and support seamless integration.

Contract Management:

• Manage and maintain legal documents related to M&A activities.

Knowledge, Skills & Experience

What you’ll Bring:

Qualifications:

• Minimum of 5 years of experience as an M&A lawyer, preferably with in-house experience.
• Fluency in English and French (both written and spoken) is mandatory.
• Strong negotiation, analytical, and problem-solving skills.
• Excellent communication and interpersonal abilities.
