The position

Job description

Would you like to join our legal team? Reporting directly to our General Counsel, you would be responsible in this new role to provide support to Le Wagon’s teams in all legal matters.

Your main missions more specifically:

Corporate Law / Mergers & Acquisitions

  • Assist the CG in M&A projects (external growth projects and corporate restructuring: draft and review of transactional documentation)
  • Liaise with external advisors on said projects
  • Oversee governance matters and corporate record keeping
  • Prepare documentation for Board approval
  • Coordination with the Finance Department and lawyers for the preparation of the General Meeting Minutes of the holding and of the subsidiaries

Business Law / Commercial law (B2B/B2C)

  • Supporting all commercial, operational and sales teams in contract review and negotiation / clarifying contractual aspects, including strategic partnerships, in multiple jurisdictions,
  • Drafting, negotiating if necessary, and/or updating the various contractual intercompany agreements;
  • Ensure the proper implementation of these contracts in collaboration with the key people of the various entities, including international subsidiaries,
  • Assist in implementing standard processes and templates (letters, contracts, best practices, etc.).

Additional missions:

  • Monitor the protection of the Le Wagon brand (IP law)
  • Monitor RGPD compliance with the IP counsel
  • Delivering legal trainings to the business

Preferred experience

🤓Technical Skills

  • You have at least 4/5 years of experience, either in a law firm or in a company (ideally a fast-growing one) as a foundation for transformation at Le Wagon into a high performing in-house counsel;
  • You have proven competence in international Merger & Acquisition, Commercial and Corporate Law (knowledge in IP law is a real plus);
  • Experience of operating in a multi-jurisdictional environment;
  • You can communicate effectively (written and oral) in English and/or French, with a strong working knowledge of the other language (knowledge of Spanish or Portuguese is a plus).
