The position

Job description

The role of Head of M&A is to be a strategic partner to senior business leaders, carrying out the end-to-end process for acquisitions and strategic explorations from project planning, valuation, due diligence, negotiation to integration planning. The role holder will also be in charge of carrying divesture projects.

Main Responsibility Key Result Area

  1. • Originate and review potential M&A / partnerships opportunities globally, with a special focus on identified key markets
    o Develop and maintain good market network and industry information to ensure the Company keeps abreast of investment opportunities
    o Build a rich acquisition pipeline consistent with Generali & EAG strategic objectives, including identification of potential targets;
    o Drive analysis of target strategic fit;
    o Provide reports, deliver presentations, and make recommendations on strategic acquisition initiatives to the local, regional and group top management

  2. • Drive the M&A / partnerships process
    o Lead acquisition activities among internal teams (local, regional and global) and external parties (e.g. legal, accounting, tax consultants) in relation to the M&A transaction structuring and due diligence
    o Lead due diligence and other transaction related activities.
    o Develop financial valuation models for acquisition targets which integrate synergies and strategic, business, operational, financial, legal, tax and other considerations
    o Drive the negotiation process for the Acquisition with vendors as well as regulatory bodies
    o Support the approval process with Generali group, whenever required (investment committee, board, etc)
    3 • Drive the signing to closing process and support the integration process post acquisition
    o Ensure proper closing of each operation and coordinate all internal actors to be involved in this part of the process
    o Support the integration process until handing over the integrated entity to local management
    o Drive change management process towards ensuring smooth transition of the newly acquired entities

  3. • Drive business development activities and divesture
    o Lead identification and due diligence of potential transformational distribution and partnerships opportunities
    o Lead divesture projects, coordinate internal and external project members, ensuring smooth exits of none core activities / markets

  4. • Ensure coordination at EAG and GHO level
    o Ensure smooth coordination with other teams
    o Brief senior management Supervise and coach on general industry and specific subject-related knowledge, as well as skills in other areas such as
    o Guarantees alignment on all high level interdependent decisions and targets with a constant and strict cooperation mainly with the finance, Business management heads and GCEO.
    o Ensure proper flow of communication with GHO M&A team.


Preferred experience

MBA or equivalent
 At least 8 to 10 years of experience in the M&A field, preferably in the insurance and financial industry
 Past experience in major M&A or consulting firms such as McKinsey, BCG, KPMG…
 Expert in financial analysis
 Excellent written and verbal communications skills.
 Excellent analytical skills and high attention to detail.
 Excellent negotiation skills and relationship building skills.
 Excellent presentation skills.
 Effectively assertive and understanding the art of closing insurance M&A opportunities.
 Understand very technical aspects of Capital and Surplus, RBC, Tax and other key insurance related KPIs
 Must be able to travel as needed/required.
 Excellent strategic thinking and strategy execution skills

Fluent in English

The role must be based in France. 50% home based
