Join our Legal Corporate Affairs Team as Legal Counsel Securities and Governance (Juriste droit boursier et gouvernance) and be part of our work to unlock value and drive transformation.

The Legal Corporate Affairs Department ensures L’Oréal’s (the 3 rd CAC 40 market capitalization) excellence by proactively managing corporate and securities law, governance, financial transparency, ESG, and foundation matters, including the Board Secretariat. As a key team member, you’ll collaborate with internal teams (Finance, M&A, other Legal teams) and external partners, providing high-level advice on complex legal issues related to securities and governance, and contributing to cutting-edge projects. Strong analytical and teamwork skills are essential for in-depth analysis of regulations, both in force or future, and best practices.

Here’s how you will have a role to play in this team:

Securities Law:

  • participation in the elaboration of the documentation for L’Oréal’s equity transactions, including capital increases, share buybacks, employee share ownership and, long-term incentives plans etc.);
  • participation in the elaboration of the Universal Registration Document, in particular regarding Risk Factors and internal control, Share capital, etc.;
  • managing the process and updates of stock market ethics, including prevention measures;
  • monitoring, assessment and implementation of financial and non-financial communication regulations, including French, European and international technical regulations;
  • potential participation to legal reorganization operations (mergers, contributions, etc.) to which L’Oréal is involved, in close collaboration with the other members of the team and other departments.

Governance
  • preparation and support of the works of the Board of Directors and its Committees (in particular Audit,;
  • legal aspects of the General Meeting of L’Oréal including draft resolutions, legal documentation and Q&A, etc;
  • benchmarking and analysis of peers’ practice;
  • Collaborate with other team members and departments on corporate governance and executive compensation matters.


Prospective
  • proactively identify and analyze (“seize the moment”) emerging trends, best practices and regulations in particular in securities and financial markets fields;
  • assess the potential impact of draft regulations, at French, European or international level, and provide recommendations;
  • proactively contribute to the team’s knowledge management;
  • taking part to digitalization projects, and being an active innovator (legal design for presentations addressed to Top Management).


The skills that you will need to make an impact:
  • Initial background in Law (Bac+5 level or equivalent) with a specialization in corporate law; an additional degree (LLM or business school) is appreciated;
  • In-depth knowledge of regulations applicable to listed companies.
  • Around 3-6 years of experience in a securities/corporate role within a law firm, institution or a listed company;
  • A strong understanding of corporate governance principles and capital markets’ regulations;
  • Ability to manage complex projects (PMO) and provide legal advice;
  • Excellent interpersonal and communication skills with the ability to collaborate effectively with diverse stakeholders at all levels including the Group top management;
  • Results-oriented, you want to get involved in a team and community of experts.
  • Strong analytical, writing, and summarizing skills, combined with a strategic mindset and attention to detail;
  • Ability to adapt to a changing environment;
  • Fluency in French and English as working languages.
