In a fast-moving environment the Legal, Ethics & Business Integrity (LEBI) and Global Security (LEBI & GS) team is a strategic business owner combining high expertise and business acumen, role modeling Play to Win culture and highest integrity & ethics to proactively deliver innovative and pragmatic solutions, make a positive impact to Sanofi to chase the miracles of science to improve people’s lives.

The Legal Corporate and finance team is multi-cultural team of around 10 expert and dynamic professionals involved into multidisciplinary missions to provide strategic, pragmatic and impact based legal support and advisory to all Global Functions and Global Business Units with respect to

• Sanofi obligations as a listed entity in Paris and New York, governance and ESG topics
• Legal restructuring and governance of Sanofi affiliates
• Equity and debt securities, capital markets operations and financing
• Litigation and investigations handled at Corporate level

Main responsibilities

Securities Law & Investments

• Advisory on stock market regulations applicable to Sanofi’s activities and equity stakes and ensure compliance with requirements
• Support and advisory on all operations involving Sanofi’s equity (capital increases, share-buyback, cancellation of shares etc.)
• Support to equity/capital markets operations involving third party listed companies where Sanofi holds (or contemplates) a minority stake

Debt Securities & Financing

• Support and advisory to put in place debt financings and other financial arrangements (including debt securities issue, off-balance sheet financings and commitments, derivatives) for Sanofi and/or its subsidiaries in France and abroad
• Support and advisory as to cash centralization and payment factory matters

Litigation

• Management of litigation and investigations involving the parent company and/or its directors and officers and post-M&A litigations handled at Corporate level
• Prevention and defense of shareholders litigation
• Tracking of liabilities retained as a result of disposal of assets and operations (retained liabilities)
• Interactions with Finance, statutory auditors and the Audit Committee and monitoring of corresponding financial reserves in coordination with Finance

ABOUT YOU

Experience

• 6 to 10 years in a law firm and/or a listed company

• Proactive
• Versatile
• Solution-driven, “can do” attitude, open to new ways of working
• Open minded, ability to interact with various functions and people
• Sense of diplomacy and confidentiality
• Interest in the pharmaceutical industry and foreign legal systems

Technical skills

• Appetite for securities law and finance law

Education

• Business Law degree
• Business School, IEP and/or LLM would be also appreciated 

Languages

• Fluent in English and French
