Senior In-House Lawyer – Corporate Governance Specialist, Accessories Business Unit (M/F/D)

Responsibilities:

Corporate Governance: 

  • Lead and strengthen governance frameworks within the Power Accessories BU (preparation of board meetings, management of shareholder meetings, monitoring of delegations of authority, statutory compliance, etc.).
  • Advise management on best governance practices and ensure ongoing regulatory monitoring in this area.
  • Draft and update internal policies relating to governance and ethics.

Contract Management and Compliance: 

  • Draft, review, and negotiate strategic contracts specific to the Accessories BU, ensuring alignment with governance policies and regulatory requirements.
  • Ensure compliance with local and European regulations (including GDPR, corporate law, etc.).

Risk Management and Regulatory Compliance:

  • Identify, assess, and anticipate legal risks related to governance and operations of the Power Accessories BU.
  • Implement corrective actions and tailored mitigation plans.

Support for Operations and Strategic Projects: 

  • Provide legal support for growth projects, restructuring, or M&A activities within the Power Accessories BU, with a focus on governance aspects.
  • Collaborate with finance, HR, sales, procurement, and operations teams to ensure governance requirements are integrated into all processes.

Training and Awareness:

  • Design and deliver training sessions on corporate governance and compliance for Power Accessories BU teams.

Qualifications and Experience:

  • Master’s degree in Law (from a recognized German or European university), German Bar admission is an advantage.
  • Experience: Minimum 8–10 years in corporate law, corporate governance, and compliance, ideally in the industrial or energy sector, with significant experience in an international environment.
  • Languages: Fluent in German and English (written and spoken); proficiency in French is a plus.

Skills and Competencies:

  • Strong knowledge on corporate law, and regulatory frameworks relevant to Nexans’ business sectors. Familiarity with EU regulations and compliance.
  • Demonstrated analytical skills, with the ability to anticipate legal issues and develop practical solutions that support business objectives. Ability to work cross-functionally and to engage teams around governance issues.
  • Excellent communication and negotiation skills, with the ability to engage effectively with internal and external stakeholders across different functions.
  • Strong organizational skills and attention to detail, with the ability to manage multiple projects and deadlines in a dynamic environment.
  • High ethical standards and a commitment to compliance, confidentiality, and regulatory adherence.
