Corporate Securities Legal Counsel

Based in:                  Paris, France

Reporting to:           General Counsel Europe and International Operations

Purpose and Scope

As Corporate Securities Legal Counsel, you will be a member of a team composed by dynamic and talented lawyers, from different background.

Under the supervision of the General Counsel Europe and International Operations, you will be key contributor in the Corporate, M&A and Compliance matters concerning Quadient SA and its subsidiaries.

Key Accountabilities

  • Preparation and coordination of the meetings of the board of directors, different Committees, and the shareholders meetings (i.e., convene notices, attendance sheets, management reports, minutes, coordination with the auditors and legal formalities);
  • Participate actively in all Securities Law matters (in particular re insiders and Market Abuse Regulations undertakings) as well as Corporate Governance issues (notably interacting with the French companies’ associations (AFEP and Medef) and AMF)
  • For the Company’s Universal Registration Document (URD), you will coordinate and support legal’s contribution for this important document;
  • Handle the update of Quadient's share transfer registers/ shareholders' individual accounts;
  • Assistance in the context of M&A projects from time to time;
  • Partner with global cross-functional internal teams on various other corporate legal projects; and
  • Performing other duties as required.

Skills, Experience & Education

  • Master’s Degree in French corporate/corporate securities law;
  • Min 5 years of relevant post-qualification legal experience, including at a French/International law firm or prior in-house experience (Company member of CAC Mid & Small index);
  • In-depth knowledge and mastery of French securities and corporate law;
  • Experience with Say on Pay topics;
  • Fluent in both French and English;
  • Excellent communication skills, both verbal and written;
  • Proven ability to independently lead and execute all facets of challenging engagements with highest integrity and ethics;
  • Collaborative team player with an ability to work independently and exercise sound judgment;
  • Highly organized, motivated, rigorous and detail oriented, ability to prioritize and multitask, flexibility and adaptability in the workplace;
  • Creative, autonomous, and strong entrepreneurship mindset;
  • Ability to work efficiently and meet demanding deadlines in a fast-paced environment;
  • Commitment to promoting an ethical workplace culture and supporting compliance, processes and programs;
  • Ability to independently manage workflow and priorities;
  • Ability to set priorities and measurable objectives;
  • Experience in an international company is a plus.
