You’d join a team of dynamic and talented lawyers, from different background (law firm & inhouse) and various industries (fashion, consumer electronics, finance, fintech…) and will be exposed to thrilling legal topics in a fast moving and evolving blockchain and crypto industry, where the story still needs to be written.

Ledger is looking for a Commercial Counsel, to join its legal team, reporting to the Associate General Counsel.

Missions

  • As Commercial Counsel, your main missions would be to:Draft and review a wide variety of commercial agreements to meet business and legal requirements, including sales and distribution agreements, Marketing agreements, Terms & Conditions (B2B and B2C), direct and indirect procurement agreements, group purchasing agreements, business associate agreements, confidentiality agreements and requests for proposals.
  • Negotiate and draft complex commercial agreements both in French and in English.
  • Negotiate with key customers, partners, suppliers and resellers.
  • Collaborate with other legal team members, as well as sales, finance, and other departments to analyze business, regulatory and legal contract terms.
  • Assist in the management of contract documentation flow, approvals, reporting and archiving consistent with internal processes.
  • Actively counsel the sale, product, engineering teams on commercial law, consumer law, software/IP matters and related topics.
  • Develop creative and compliant solutions to resolve complicated business challenges and customer disputes.
  • Qualification & skillset

  • 5+ years of combined legal experience at a global law firm and/or in-house legal department of a technology company
  • Fluent in English and French is a must
  • Experience with software licenses, manufacturing contract and negotiation with OEMs would be a plusCandidates with a working experience abroad (U.S., England,, …), will be highly considered.
  • Excellent written and verbal communication skills
  • Proven ability to independently lead and execute all facets of challenging engagements with highest integrity and ethics – from preliminary/conceptual advice, through structuring, negotiating, drafting, closing, and any subsequent conflict resolution.
  • Creative and practical legal counselor who can communicate information accurately and completely, while being concise and digestible for non-lawyers
  • Collaborative team player with an ability to work independently and exercise sound judgment
  • Ability to offer both practical and theoretical advice demonstrating knowledge of the product and good business instincts
  • Ability to prioritize and multitask; flexibility and adaptability in the workplaceDemonstrated passion for the work and excitement to jump in
