About your role
What you’ll do at eFounders 💪

As our General Counsel, you will be an integral part of our small and sharp Core Team, assisting the partners, early stage projects and startups founders on “Everything Legal”.

You are a master in:

• Funds: providing legal assistance on the legal structure of eFounders as an investment holding company and its SPVs (assist in overall strategy, governance, roll over loan credits, tax considerations, shareholder KYB/KYC, LP management, etc.)
• Later-stage fundraising: reviewing the investment documentation in later priced rounds, with eFounders’ interests at heart (shareholder agreements, IRA, ROFO/Co-Sale, …)
• Legal advice to board members : eFounders being a regular board member in all of its portfolio companies, you will assist the board member when dealing with sensitive legal topics.
• Exits: reviewing the sale documentation during exit processes, with eFounders’ interests at heart, organise data-rooms for primary or secondary exists
• Early-stage fundraising: preparing the investment documentation (e.g. US SAFE, French BSA AIR, shareholders’ agreement, etc.) for our early-stage startups

And are also happy dealing with - for eFounders and some of its startups:

• General Corporate: Office lease & sub-rent, employees and contractors, in charge of audits and corporate housekeeping, employee incentive plan setup and implementation
• Commercial: being the first line of response for any general commercial law issue raised by our startups (e.g., T&Cs, Privacy Policy, Services agreement, etc.)
• Trademarks: registering or transferring trademarks for our startups, with the assistance of local French or US counsel if need be
• Incorporation: driving the incorporation process of companies in France and in the United States, with the assistance of local French or US counsel if need be
• • Note that eFounders is an entity organised under Belgian law. However most of its startups are incorporated in the US or in France.
    While working on the above matters, you will build up the internal legal knowhow and legal processes. If you deem it necessary to require assistance from outside counsel, you will take care of the whole procurement: scoping the mission to lawyers, evaluating whether the lawyers will be a good match and monitoring the quality of the deliverables over time.

Canyon appTo help you drive our legal operations, you will receive access to Canyon, a smart matter management software. You will be asked to provide candid and regular feedback in close collaboration with Canyon’s tech & product team.

• Experience: you have 4 to 8 years of experience in a Tier 1 law firm or an equivalent tenure as General Counsel in an ‘eFounders’ like environment
• Domestic and US law: you are practicing French and/or Belgian law and are familiar with US law (fundraising, private equity…). But you don’t stick to national boundaries and are not afraid to Google your way out to assess the current state of foreign law if this is appropriate.
• Full proficiency in English & French
• Business lawyer: you provide actionable legal advice in stupid-proof language
• Tech industry focus: you demonstrate a strong track-record in advising tech companies in all legal aspects, with a focus on contractual and commercial law, fundraising and employee incentives.
• Project manager: you like to break down complex transactions into small chunks of work, you are able to manage expectations and, most of all, you love bringing matters to a close
• Pro-active and resilient: you surface issues ahead of time, you are open to feedback and are willing to drop antiquated habits if they prove inefficient
• Management straight-talk: you are able to discuss matters to-the-point with founders, single out legal risks ans propose way forwards. You understand that founders must take tough split-second calls and you are there to help make the best decisions
